Check Point Software Announces Pricing of Upsized Private Offering of $1.75 Billion of 0.00% Convertible Senior Notes due 2030 Check Point (Nasdaq: CHKP) priced an upsized private offering of $1.75 billion aggregate principal amount of 0.00% convertible senior notes due 2030, up from $1.5 billion, with settlement expected on December 8, 2025. The initial conversion rate is 4.1042 shares per $1,000 (approx. $243.65 per share), a ~27.5% premium to the Dec 3, 2025 last sale price. Net proceeds are estimated at ~$1.72 billion (or ~$1.97 billion if option exercised). Check Point expects to use $168.0 million for capped calls and ~$225.0 million to repurchase ~1.18 million shares; remaining proceeds for general corporate purposes.The notes are senior unsecured, bear no regular interest, mature Dec 15, 2030, and include redemption, repurchase and conversion mechanics and capped-call hedges to limit dilution.

The Notes are senior, unsecured, and will be convertible under specified conditions (limited convertibility prior to September 16, 2030; freely convertible thereafter until close of business two trading days before maturity).Check Point expects to use proceeds to pay for capped call transactions, repurchase up to $225 million of ordinary shares under its repurchase program, and for general corporate purposes. The offering will be made to qualified institutional buyers under Rule 144A.
